ReChew Terms of Use

Dear users, welcome to ReChew.

ReChew ("we", "us", or "our") provides the service described in this policy.

Before using the Services, please carefully read (minors under the age of 18 or the minimum age required in your country shall read with their legal guardian) and fully understand these Terms of Use ("Terms") and related rules, policies, or guidelines. If specific features include additional terms ("Specific Terms"), those Specific Terms form part of these Terms and prevail in case of conflict for that specific feature.

By clicking "Agree," checking a consent box, creating an account, or otherwise accessing or using the Services, you confirm that you have read, understood, and accepted all applicable terms. If you do not agree, do not access or use the Services.

1. Services

1.1 Scope of Services

The Service is designed to help you collect, organize, summarize, and review knowledge content from multiple sources in one place. It is intended to support long-term learning and retention through AI-assisted summarization, review scheduling, and cross-device synchronization. Features may vary by jurisdiction/device and may change over time.

1.2 Service Nature

Certain functions use generative AI technologies to produce outputs based on your inputs. Outputs may include text, structured summaries, labels, schedules, and related recommendations.

1.3 Service Changes

We may add, upgrade, modify, suspend, or terminate all or part of the Services to reflect legal requirements, risk controls, technical development, or operational needs. Where required by law, we will provide notice.

1.4 Availability

We do not guarantee that all features are available in all jurisdictions or on all devices at all times.

2. Account

2.1 Eligibility

The Services are primarily intended for adults. If you are under 18 years old or the minimum age required in your country, please read these Terms with your legal guardian and use the Services only with the consent of your legal guardian.

2.2 Registration

You must register using supported methods. At this stage, you may register for and access the Services only through Apple's authentication service ("Sign in with Apple"), as made available by ReChew. You agree to provide true, accurate, legal, and valid information associated with your Apple account and to keep such information up to date where applicable. We may introduce additional registration or authentication methods in the future, subject to updated terms and product availability. If authentication cannot be completed or verified, we may refuse registration, suspend access, or limit certain functions as permitted by applicable law.

If the materials or information you submit are inaccurate, untrue, non-standard, or if there is a reason for us to suspect them as incorrect, false, or illegal, we reserve the right to refuse to provide you with related functions. As a result, you may be unable to use this platform and related services or may face restrictions on certain functions during use. In such cases, we will offer an opportunity for you to explain or object. If your explanation or objection is deemed valid, we will promptly restore your access to the Services without delay.

2.3 Account Responsibilities

When you register and use an account, you must commit and guarantee that:

  • You take full responsibility for the authenticity, legality, and validity of the registration information, update the registration information promptly, and must not register an account or use the Services on behalf of others.
  • Safely keep your authentication credentials, Apple ID access, and device security and take legal responsibility for all activities under that account.
  • Do not maliciously register accounts, including but not limited to frequent or bulk registration.
  • Do not transfer, lend, rent, or provide your account to others in any form.

2.4 Account Recovery

If your account is compromised, notify us immediately. We especially remind you to properly safeguard your account. You will bear full responsibility for any losses caused by the leakage of your account, except where the loss is caused by our willful misconduct or gross negligence. Account recovery may require identity verification and completion of applicable authentication procedures (including, where applicable, Sign in with Apple account verification). ReChew will use commercially reasonable efforts to assist with account recovery, but does not guarantee that recovery will be successful in every case, including where required verification cannot be completed or third-party authentication dependencies are unavailable. If users discover any unauthorized use of their accounts, they shall immediately notify us, and we will provide support within our technical capabilities.

2.5 Account Deletion

Under the agreed conditions, you have the option to discontinue the use of our Services, terminate the contract with us, and delete your account. However, even after the user deletes the account, we still have the right to:

  • Retain certain data of the user as required by laws and regulations.
  • Exercise the rights stipulated in these Terms for any illegal or violating behavior committed by the user during the use of the Services before deletion.

Account deletion may be implemented as a delayed-deletion workflow (for example, a pending deletion window) to prevent accidental deletion. Where supported, you may cancel deletion during that pending window. After the window expires, account-scoped data may be hard deleted through background cleanup workflows, subject to legally required retention and technical backup/consistency windows.

3. Requirements and Restrictions

3.1 License Grant

Subject to your compliance with these Terms, we grant you a revocable, non-transferable, non-exclusive, limited right to legally use the Services. All other rights not expressly authorized by these Terms are reserved by ReChew, and before exercising such rights, you must obtain written permission from ReChew. Additionally, our failure to exercise any of these rights does not constitute a waiver of those rights. If you publish or disseminate outputs generated by the Services, you should independently evaluate the authenticity and accuracy of the output content to avoid spreading false information. You must avoid publishing and disseminating any output content that violates the usage specifications of these Terms.

3.2 Compliance and Good Faith Use

You must use the Services lawfully. You must comply with these Terms and adhere to the principles of voluntariness, equality, fairness, and good faith. You must not infringe lawful rights of others or disrupt platform order.

3.3 Prohibited Content and Conduct

You must not use the Services to create, request, publish, or distribute content that is illegal, infringing, abusive, hateful, discriminatory, pornographic (where prohibited), violent-extremist, deceptive, or otherwise prohibited by applicable law or platform rules.

You must not:

  • Circumvent security, quota, access, or billing controls.
  • Probe or exploit system vulnerabilities without authorization.
  • Reverse engineer, reverse assemble, decompile, or extract source code/model internals except as permitted by law.
  • Use bots, scripts, crawlers, agents, or scraping mechanisms to capture Service data without authorization.
  • Use the Services for fraud, illegal activity, or harmful high-risk purposes.

3.4 Compliance Review and Enforcement

To meet legal and safety obligations, we may apply technical and operational review measures, including risk filtering and policy enforcement. For violations, we may issue warnings, require correction, restrict functions, suspend/terminate accounts, remove content, and report to authorities where required.

4. Inputs and Outputs

4.1 Your Responsibilities

You are responsible for your Inputs and your use of Outputs. You represent and warrant that you have all rights and permissions required for us to process your Inputs and provide Outputs.

4.2 Rights Allocation

You retain rights in your Inputs to the extent provided by applicable law. Subject to applicable law and these Terms, we assign to you any rights we may hold in Outputs generated specifically for your requests, except where restricted by law, third-party rights, or these Terms.

4.3 Service Improvement Processing

To provide, maintain, operate, secure, and improve the Services, we may process Inputs and Outputs to the minimum extent reasonably necessary, including de-identification or aggregation where applicable and legally required.

4.4 Output Disclaimer

Outputs are generated by AI models and may be incomplete, inaccurate, or inappropriate. Outputs are for reference only and do not constitute professional advice (including medical, legal, financial, or other regulated advice). You must independently evaluate outputs before reliance or further action.

5. Fees and Billing

5.1 Paid Features and Billing Authorization

Certain features of the Services may require payment, subscription, or other charges. Pricing, billing cycle, and plan scope are shown in the product interface or purchase flow.

Where direct billing by ReChew is available, you agree to provide complete, accurate, and up-to-date billing information and authorize us and/or our payment service providers to charge your selected payment method for all applicable fees.

5.2 Subscription and Automatic Renewal

If you purchase an auto-renewing subscription, your subscription will renew automatically at the end of each billing cycle unless canceled before renewal in accordance with the purchase channel rules.

You authorize recurring charges for subscription fees and applicable taxes using your selected payment method.

5.3 Purchase Channels and Third-Party Billing

Purchases made through Apple App Store are billed and managed by Apple and remain subject to Apple's applicable billing, renewal, cancellation, and refund rules.

Where purchases are made through other authorized channels, billing may be handled by third-party payment processors, and their applicable terms and policies may apply in addition to these Terms.

5.4 Taxes

To the extent permitted by applicable law, you are responsible for all applicable taxes, duties, levies, or similar governmental charges associated with your purchase, excluding taxes based on ReChew's net income.

We may collect taxes when required by applicable law.

5.5 Failed Payments, Delinquency, and Chargebacks

If a payment cannot be completed, is reversed, or is disputed, we may, to the extent permitted by applicable law, downgrade, suspend, or restrict access to paid features until payment is successfully completed.

You are responsible for amounts due and, where legally permitted, reasonable costs arising from failed payment, chargeback, or collection handling.

5.6 Cancellation and Refunds

You may cancel your paid subscription at any time through the applicable purchase channel. Unless otherwise required by applicable law or expressly stated by us in writing, fees are non-refundable.

For purchases made through Apple App Store, refund requests must be submitted to Apple and are decided under Apple's refund policies. ReChew does not directly process or approve refunds for Apple-billed transactions.

If a refund, revocation, or charge reversal is confirmed by the applicable billing channel, ReChew may immediately or subsequently adjust your entitlements (including downgrading plan status) and apply then-effective data availability and retention rules, subject to applicable law.

Cancellation will generally take effect at the end of the current paid period, unless applicable law requires otherwise.

Changes to your subscription status (including expiration, cancellation, or downgrade) may affect content availability, storage duration, and retention treatment under the then-effective Service policies. Subject to applicable law, certain categories of content may be subject to staged archival, limited access, or deletion after applicable retention windows.

5.7 Price and Plan Changes

We may change pricing, billing structure, or plan features from time to time. For subscription price increases, we will provide at least 30 days' prior notice, and the change will take effect on your next renewal date, so you can cancel before renewal if you do not agree.

5.8 Service Credits (If Offered)

If we offer prepaid service credits for certain Services, such credits may be subject to additional Service Credit Terms, including usage scope, expiration, and non-refundability except where required by applicable law.

6. Intellectual Property

ReChew and its licensors own all rights, title, and interests in and to the Services (including software, models, interfaces, designs, trademarks, and related materials), except rights expressly granted to users under these Terms and applicable law.

You may not use ReChew brand identifiers or confusingly similar marks without prior written authorization.

7. Complaints and Feedback

If you believe the Services infringe your rights, contain unlawful information, or violate these Terms, or if you have suggestions, contact us through the contact details below. We may investigate and handle reports according to applicable law and policy.

8. Disclaimer of Warranties, Limitations of Liability, and Indemnity

8.1 Statutory Rights

Nothing in these Terms excludes statutory rights that cannot be lawfully excluded.

8.2 Warranty Disclaimer

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF ACCURACY, RELIABILITY, SATISFACTORY QUALITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED AVAILABILITY.

8.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY SHALL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, GOODWILL, OR DATA, EXCEPT WHERE CAUSED BY WILLFUL MISCONDUCT, GROSS NEGLIGENCE, OR WHERE SUCH LIMITATION IS PROHIBITED BY APPLICABLE LAW. IN NO EVENT WILL OUR TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, OR CAUSES OF ACTION EXCEED THE AMOUNT YOU HAVE PAID US IN THE LAST SIX (6) MONTHS, OR, IF GREATER, FIFTY DOLLARS ($50).

8.4 Indemnity

To the extent permitted by law, you agree to indemnify, defend, and hold harmless ReChew and its affiliates from third-party claims, liabilities, damages, losses, and expenses arising from or related to your breach of these Terms, violation of applicable law, illegal conduct, fraud, or infringement of third-party rights.

Recoverable expenses may include, to a reasonable extent and where legally permitted, litigation fees, arbitration fees, attorney fees, notary fees, announcement/publication fees, appraisal/expert fees, travel expenses, investigation and evidence collection expenses, compensation amounts, liquidated damages, settlement costs, and administrative penalties/fines incurred in protecting our lawful rights and interests.

8.5 Violation Remedies and Cost Recovery

In response to violations of these Terms or other applicable service rules, ReChew may, to the extent permitted by applicable law, take one or more enforcement measures, including issuing warnings, requiring correction within a specified period, restricting account functions, suspending service access, terminating accounts, disabling re-registration, deleting related content, and reporting suspected illegal conduct to competent authorities.

You shall bear legal responsibility for your own violating conduct. If your conduct causes claims, demands, liabilities, losses, or expenses to ReChew or any third party, you shall, to the extent permitted by applicable law, be responsible for corresponding compensation and reimbursements as set out in Section 8.4. If ReChew is also at fault under applicable law, liability shall be allocated in proportion to each party's degree of fault.

For the avoidance of doubt, any liability allocated to ReChew under this Section 8.5 remains subject to Sections 8.1 and 8.3, to the maximum extent permitted by applicable law.

9. Export Control and Sanctions

You are solely responsible for complying with applicable export control and sanctions laws in connection with your use of the Services. You represent and warrant that you are not prohibited from using the Services under applicable export control or sanctions laws.

10. Governing Law and Jurisdiction

The establishment, execution, interpretation, and resolution of disputes under these Terms shall be governed by the laws of the People's Republic of China in the mainland.

In case of any dispute arising from or related to these Terms, the parties shall first attempt to resolve it amicably through negotiation via Legal Contact listed below. If negotiation cannot resolve it within 90 days, either Party has the right to file a lawsuit exclusively with courts located in Beijing, China. You consent to the personal jurisdiction of those courts for this purpose.

Notwithstanding anything to the contrary in these Terms, ReChew reserves the right to seek temporary, preliminary, and permanent injunctive relief, and other equitable remedies, in any court of competent jurisdiction, to prevent or stop any actual or threatened: (a) infringement or misappropriation of intellectual property rights or trade secrets; (b) unauthorized use, disclosure, or destruction of confidential information or personal data; (c) unauthorized access to, interference with, or abuse of the Services or security measures; and (d) other breaches likely to cause irreparable harm. Such remedies are without prejudice to any other rights or remedies available at law or in equity.

11. Notice Regarding Apple

If you access the Services through an Apple platform application:

  • These Terms are concluded between you and ReChew, not Apple Inc.
  • Apple is not responsible for the Services or their content.
  • Apple has no obligation to provide maintenance or support services for the Services.
  • To the extent required by Apple platform rules, Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce relevant provisions.

12. Miscellaneous

We may revise these Terms from time to time for legal, policy, technical, or operational reasons. Revised Terms become effective upon publication or as otherwise notified by law. Your continued use of the Services after effective date constitutes acceptance of revised Terms.

If any provision is held invalid or unenforceable, remaining provisions remain in full force and effect.
